Terms of use for ohanly Cloud
This is an English translation for your convenience. Only the German version is legally binding.
§ 1 Scope and provider
- These terms apply to the use of ohanly Cloud, the version of the family organiser ohanly that we operate. The provider is Armin Töpper, Bamberger Str. 20, 10779 Berlin (“we”).
- These terms don’t apply to self-hosted installations of ohanly.
- Different terms of users only apply if we expressly agree to them.
§ 2 Sale via Paddle
- Our order process is conducted by our online reseller Paddle.com Market Limited, Judd House, 18–29 Mora Street, London EC1V 8BT, United Kingdom (“Paddle”). Paddle is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
- The purchase of a subscription or the lifetime licence is additionally subject to Paddle’s buyer terms. The use of ohanly Cloud is governed by these terms.
§ 3 Services
- ohanly Cloud is an online service with which a family jointly keeps calendars, tasks with points and rewards, timetables, meal plans, recipes and shopping lists – in the browser, as an installable web app and on paired family displays.
- The exact range of functions is described on our website at the time the contract is concluded. We keep developing ohanly and may add or change functions as long as the agreed core – organising the family together with the areas named – is preserved.
- Connections to third-party services (such as Google Calendar, iCloud or Nextcloud) depend on their interfaces. If a provider changes or blocks its interface, we cannot guarantee the connection.
- We aim for high availability. ohanly Cloud may be temporarily unavailable for maintenance, updates and disruptions beyond our control. Where possible we schedule planned maintenance at times of low use.
§ 4 Account and family
- You need an account to use the service. Adults may create an account; minors only with their parents’ consent. Children can take part in a family as a child profile without their own account.
- Each account belongs to exactly one family. Whoever creates a family is its owner and takes out the subscription or buys the lifetime licence for the family. The owner adds further people by invitation and sets their role.
- Keep your sign-in details secret and let us know if you suspect misuse. We recommend passkeys or two-factor sign-in.
- If you enter information about other people, especially children, you make sure you are allowed to do so.
§ 5 Free trial
- A new family can try ohanly Cloud free of charge with full functionality for 30 days; there is one trial per account.
- The trial ends automatically. No costs arise and no subscription starts unless you take one out. After the trial the family stays readable; export and deletion remain possible.
§ 6 Subscription, prices and cancellation
- The subscription is available with a monthly or yearly term. The prices shown during ordering apply; they include statutory VAT. You pay Paddle in advance for each term.
- The subscription renews automatically for the chosen term unless you cancel before it ends.
- You can cancel at any time to the end of the current term without giving reasons: in the app under “Family → Subscription” via Paddle’s customer portal, or by email to [email protected]. You can keep using ohanly Cloud until the end of the term. If the owner deletes the family, the subscription ends as well.
- After the subscription ends the family stays readable; export and deletion remain possible. A new subscription makes it fully usable again.
- If a payment cannot be collected, Paddle retries several times. Until then ohanly Cloud remains usable.
- We announce price changes for running subscriptions by email at least six weeks in advance. They apply from the next term; until then you can cancel.
§ 7 Lifetime licence
- Instead of a subscription, the owner can buy a lifetime licence for their family, as long as we offer it. The price shown during checkout applies; it includes statutory VAT. You pay Paddle once. The licence does not renew, no further costs arise, and there is nothing to cancel.
- “Lifetime” refers to the lifetime of ohanly Cloud, not of a person: the family can use ohanly Cloud with all its members to the extent described in § 3 for as long as we operate ohanly Cloud. The licence applies to the family it was bought for and cannot be transferred to another family.
- If the family still has a running subscription, cancel it before buying (§ 6(3)). It continues until the end of the term already paid for; it is not refunded pro rata.
- If we discontinue ohanly Cloud, we will announce this by email at least twelve months in advance. Until then ohanly Cloud remains usable and you can export your data at any time. If ohanly Cloud ends within five years of the purchase, we refund one sixtieth of the price paid for every full month remaining until the end of those five years.
- If the owner deletes the family, the licence ends without a refund. The same applies if we block access or terminate the contract for cause because of a serious breach under § 9(2).
- If the purchase price is fully refunded or charged back, for example after a withdrawal, the licence ends. The family is then treated as after the end of a trial or subscription (§ 5(2), § 6(4)).
§ 8 Right of withdrawal
As a consumer you have a statutory right of withdrawal of 14 days when taking out a subscription or buying the lifetime licence. Since Paddle is the seller, you exercise it towards Paddle; the cancellation policy and model withdrawal form are in Paddle’s buyer terms. You can also contact us about it.
§ 9 Obligations when using the service
- Use ohanly Cloud only to organise your family and within the applicable laws. In particular, unlawful content, attacks on our systems, circumventing security and access restrictions, and automated mass requests are not allowed.
- If someone seriously breaches these obligations, we may block access after a prior warning; in severe cases without warning. Both sides’ right to terminate for cause remains unaffected.
§ 10 Your data
- The content you enter in ohanly belongs to you. We only process it to provide ohanly Cloud, as described in the privacy policy.
- You can export your data at any time – also after the trial or subscription ends.
- The owner can delete the family at any time. It is then marked for deletion for 7 days and deleted for good afterwards.
- How long we keep read-only families: We delete them 12 months after expiry, after reminding the owner twice by email.
§ 11 Liability
- We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and within the scope of any guarantee given.
- In case of slight negligence we are only liable if we breach an essential contractual obligation – an obligation whose fulfilment makes using ohanly Cloud possible in the first place and on whose observance you may regularly rely. Liability is then limited to the foreseeable damage typical for the contract.
- Otherwise liability is excluded. These rules also apply to our employees and agents.
§ 12 Changes to these terms
We may change these terms if laws, case law or the service change. We will tell you about changes by email at least six weeks before they take effect. Changes affecting the balance of service and price only apply with your consent. For all other changes you can cancel until they take effect.
§ 13 Final provisions
- German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, the mandatory consumer protection rules of the country where you habitually reside remain unaffected.
- If users are merchants, the place of jurisdiction is our registered office.
- If a provision is invalid, the remaining provisions remain effective.
